Introduction
These Terms of Service govern the provision of WhatsApp communication services by Blue Relay to its clients, including WhatsApp Business setup, system optimization, and automation solutions.
These services are provided in accordance with applicable platform policies, including WhatsApp Business Platform requirements.
By engaging our services, you agree to these Terms.
Services Provided
We provide:
WhatsApp Business setup and configuration
Whatsapp Business profile optimization
Catalog and messaging workflow setup
WhatsApp Business API setup assistance
Chatbot development and configuration
Automation workflow design
System integration (where applicable)
Ongoing system management and support
Service scope will be defined in a separate proposal, agreement, or invoice issued to the Client.
Client Responsibilities
The Client agrees to:
Provide accurate business information
Obtain proper customer consent before messaging via WhatsApp
Comply with all applicable laws and regulations
Not use our services for spam, unlawful marketing, or prohibited content
Provide administrative access or permissions necessary for WhatsApp Business setup, configuration, or automation deployment
The Client remains responsible for all content sent through their WhatsApp Business account.
Data Protection & Processing
In most engagements:
The Client acts as the Data Controller
The Company acts as the Data Processor
We process personal data solely on the Client’s instructions and in accordance with applicable data protection laws, including the Botswana Data Protection Act.
We do not sell, reuse, or claim ownership of Client customer data.
A separate Data Processing Agreement may be executed where required.
WhatsApp & Third-Party Platforms
Our services rely on third-party platforms and infrastructure, including but not limited to:
WhatsApp Business (Meta Platforms)
Automation and hosting providers
We are not responsible for:
Platform outages
Policy changes by Meta
Account suspensions resulting from Client violations
Clients must comply with WhatsApp Business policies at all times.
Fees & Payment
Service fees will be outlined in the Client’s proposal, invoice, or service agreement.
Unless otherwise agreed:
Payments are due as stated on invoice
Setup fees are non-refundable once work has commenced
Ongoing service fees must be paid to maintain active services
Failure to pay may result in suspension of services.
Intellectual Property
Unless otherwise agreed in writing:
Custom configurations, workflows, and automation systems created for the Client remain licensed to the Client for use during active service.
The Company retains ownership of proprietary frameworks, systems, and methodologies used to build chatbot solutions.
Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed the amount paid by the Client for services in the preceding three (3) months.
Service Outcome Disclaimer
Blue Relay provides technical configuration, setup, and automation services designed to improve communication workflows.
However, we do not guarantee specific business outcomes such as increased sales, customer engagement, or operational performance.
The effectiveness of any messaging system may depend on factors outside our control, including the Client’s products, services, pricing, marketing strategies, and customer demand.
Clients acknowledge that Blue Relay provides system implementation and technical services, not business performance guarantees.
Termination
Either party may terminate services in accordance with the agreed service contract.
Upon termination:
Access to systems may be revoked
Outstanding payments remain due
Data handling will follow agreed retention terms
Prohibited Uses
Clients may not use our services for:
Spam or unsolicited bulk messaging
Fraudulent activities
Illegal goods or services
Misleading or deceptive practices
Violation of WhatsApp Business Platform policies
Violation may result in immediate service termination.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Botswana.
Changes to These Terms
We reserve the right to update these Terms at any time. Updated versions will be published on our website.
